1. ACCEPTANCE OF TERMS AND MODIFICATION
Welcome to the HorizonTal website, accessible at www.horizon-tal.ca (the “Site”), which is operated by HorizonTal Recruitment Inc. and its affiliates (“HorizonTal,” “we,” or “us”). By using the Site, including all services and materials provided through it, you agree to be bound by these Terms of Use (“Terms”). These Terms govern your access to and use of the Site, forming a legally binding agreement between you and HorizonTal.
HorizonTal may update or modify these Terms from time to time. Any additional terms or conditions posted on the Site or made available to you by HorizonTal will be considered part of these Terms, and by continuing to use the Site, you accept those changes.
2. REVIEW AND ACCEPTANCE OF TERMS
Please read these Terms carefully. By accessing or using the HorizonTal website (the “Site”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use or access the Site.
We reserve the right to modify these Terms at any time, whether in whole or in part, by updating or altering the content. These changes may occur periodically and without notice, depending on our discretion and the nature of the changes. When amendments are made, the updated version will be posted on the Site with a new “Last Updated” date, and a link to the previous version will be available for reference. The revised Terms will take effect 30 days after posting. Until then, the prior version of the Terms will remain in effect.
If you disagree with any of the amendments, you may discontinue your use of the Site during the 30-day notice period without penalty. If you continue to use the Site after this period, you are considered to have accepted the amendments. The “Last Updated” date above reflects when these Terms were last revised.
Additionally, we may modify, suspend, or discontinue the Site or any portion of it, including access via third-party links, at any time without prior notice and without liability.
3. ELIGIBILITY, ORGANIZATIONS, AND GOVERNING LAWS
By accessing or using the Site, you confirm that you are of legal age to enter into these Terms. If you are accessing or using the Site on behalf of a corporation, partnership, or any other entity (an “Organization”), you agree to these Terms on behalf of both yourself and the Organization. You represent and warrant that you have the legal authority to bind the Organization to these Terms. Throughout these Terms, “you” and “your” refer to both the individual using the Site and the Organization you represent, if applicable.
The Site is primarily controlled or operated from Canada and the United States, and as such, HorizonTal does not intend for the Site to be governed by the laws of any jurisdiction outside of Canada and the United States. The Site may not be suitable or available for use in jurisdictions outside these countries. You use the Site at your own risk and agree to comply with all applicable local, state, provincial, national, and international laws and regulations.
We reserve the right to limit the availability of the Site, in whole or in part, to any individual, geographic location, or jurisdiction at our discretion.
4. LICENSE GRANT
Subject to your compliance with these Terms, HorizonTal grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site. This license allows you to view and download materials made available on the Site solely for your personal, non-commercial use. All content, information, and materials provided through the Site are the exclusive property of HorizonTal or its licensors and are protected under Canadian, U.S., and international copyright laws.
You agree not to access or use the Site or any content, information, or materials on the Site for any purpose other than as expressly permitted in these Terms. All trademarks, service marks, trade names, logos, and other identifiers displayed on the Site (collectively, the “Marks”) are the exclusive property of HorizonTal or their respective third-party owners. Except for your right to view the Marks on the Site, you are not granted any rights to use, reproduce, or display these Marks in any form.
No license or rights are implied, granted, or extended to you under any circumstances regarding the Marks displayed on the Site.
5. USER-SUBMITTED CONTENT
The Site may allow you to upload and submit your resume, employment information, career-related materials, and other content, as well as interact through features such as message boards, forums, chat, and comments (collectively, “Submitted Content”). You retain ownership of your Submitted Content. However, by submitting such materials to the Site, you grant HorizonTal a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, transferable, and sublicensable license (through multiple tiers) to use, reproduce, distribute, publicly display, perform, adapt, modify, create derivative works, and otherwise exploit your Submitted Content in any format or media now known or hereafter developed, for any purpose, including promotional uses such as testimonials.
In addition, any feedback, suggestions, proposals, or ideas you provide to us (“Feedback”) regarding the Site or otherwise will be considered part of your Submitted Content. You acknowledge and agree that such Feedback is unsolicited, without confidentiality, and that HorizonTal is under no obligation to treat it as confidential or pay any compensation for it. You further agree that your provision of Feedback does not create any fiduciary duty or other obligation on HorizonTal.
You represent and warrant that you hold all necessary rights to grant the licenses described in this section, and that your Submitted Content is accurate, complete, and lawful. You also confirm that your Submitted Content does not infringe upon the intellectual property rights or other rights of any third party.
By submitting content, you waive any “moral rights” or similar rights related to the attribution or integrity of the materials under applicable law. You agree to keep your Submitted Content updated and accurate as necessary.
HorizonTal may, at its discretion, screen, monitor, or remove any Submitted Content, or analyze your access to and use of the Site. We may use your Submitted Content in accordance with the terms outlined in our Privacy Policy, which governs how we collect, use, and disclose your information when using the Site.
6. CONDUCT GUIDELINES
By using the Site, you agree to refrain from the following actions:
Posting, transmitting, or making available any Submitted Content that:
(a) is threatening, harassing, demeaning, hateful, intimidating, or otherwise violates the rights and dignity of others;
(b) is defamatory, fraudulent, libelous, or otherwise unlawful;
(c) is obscene, pornographic, or otherwise objectionable;
(d) infringes upon a third party’s intellectual property or privacy rights without proper consent.Posting or transmitting any harmful software or code, including viruses, worms, Trojan horses, or other malicious programs intended to disrupt, harm, or monitor any system (collectively referred to as “Viruses”).
Using the Site for commercial, fraudulent, tortious, or illegal purposes.
Harvesting or collecting personal information about other users of the Site.
Interfering with or disrupting the functioning of the Site, servers, or networks, including hacking or modifying any part of the Site.
Restricting or inhibiting others’ ability to use the Site.
Reproducing, modifying, distributing, selling, or exploiting any part of the Site, except as expressly permitted in these Terms.
Reverse-engineering, decompiling, or disassembling any part of the Site, unless explicitly permitted by applicable law.
Removing any copyright, trademark, or proprietary notices from the Site.
Framing or mirroring any portion of the Site or integrating any part of the Site into another product or service.
Systematically downloading or storing content from the Site.
Using automated tools like robots, spiders, or data-mining programs to scrape, index, or collect content from the Site, except for search engines authorized under specific conditions.
HorizonTal reserves the right to take action if you violate any of these guidelines, including suspending or terminating your access to the Site.
7. ACCOUNT REGISTRATION AND SECURITY
To access certain features of the Site, you may be required to create an account. HorizonTal reserves the right to reject or request changes to any username, password, or other registration information you provide. You are solely responsible for maintaining the confidentiality of your account login details, including your username and password, and for all activities that occur under your account.
It is your responsibility to:
(a) Keep your login credentials secure and confidential;
(b) Regularly update your password;
(c) Immediately notify HorizonTal if you suspect any unauthorized access to your account or a security breach.
If you register as a client of HorizonTal, you may gain access to features such as creating new orders, reviewing and modifying existing orders, and approving timesheets for HorizonTal personnel working with you. You agree that you are fully responsible for all actions and activities conducted within your account, including any charges or fees resulting from order modifications or assignment extensions.
8. THIRD-PARTY CONTENT
The Site may contain links to or provide access to third-party websites, content, or materials (“Third-Party Content”). HorizonTal does not control and is not responsible for the availability, accuracy, or content of any Third-Party Content. The inclusion of links to Third-Party Content does not signify endorsement or affiliation with the third-party provider.
Your use of any Third-Party Content is at your own risk, and HorizonTal is not liable for any consequences resulting from your access to or interaction with such content.
9. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless HorizonTal, its affiliates, officers, directors, agents, and employees, from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including legal fees) arising from your use of the Site, including any Submitted Content, or any activities related to the Site. This also includes any breach or alleged breach of these Terms or the Privacy Policy.
10. DISCLAIMER
Note: This section does not apply to Quebec consumers.
The Site is provided on an “AS IS” and “AS AVAILABLE” basis. HorizonTal makes no representations or warranties of any kind, whether express or implied, regarding the Site. To the fullest extent permitted by applicable law, HorizonTal disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title, as well as any warranties arising from course of performance, dealing, or trade usage.
While we strive to ensure the Site’s accuracy, integrity, and security, we do not guarantee that the Site will remain up-to-date, complete, correct, secure, or that access will be uninterrupted. The Site may contain errors, inaccuracies, or materials that conflict with these Terms, and unauthorized third parties may alter its content.
Additionally, HorizonTal:
(a) Does not guarantee that you will receive employment or job offers through the Site;
(b) Is not responsible for employment offers, listings, screenings, decisions, or any actual employment provided by third parties;
(c) Does not act as your employer or agent by virtue of your use of the Site.
You are responsible for exercising your own judgment in evaluating potential employers and any Third-Party Materials.
11. TERMINATION
HorizonTal reserves the right to terminate or suspend your access to the Site at any time, with or without cause or notice, particularly if we believe you have violated or acted in a way that contradicts the intent or terms of these Terms. Upon termination or suspension:
(a) Your right to access and use the Site will immediately end;
(b) HorizonTal may deactivate or delete your username, password, and account without notice;
(c) HorizonTal is under no obligation to retain or provide you with access to any materials associated with your account, including Submitted Materials, and may choose to delete or retain such materials at its discretion, in accordance with applicable laws; and
(d) Except for the license granted to you to access and use the Site, all other provisions of these Terms will remain in effect after termination.
12. NOTICE OF COPYRIGHT INFRINGEMENT
Under the “Notice and Notice” regime of the Copyright Act (Canada), copyright owners who believe their rights under Canadian copyright law are being infringed online have recourse to request removal or disablement of the infringing material. If you believe that any material on the Site infringes your Canadian copyright, you or your authorized agent may send a written notice of infringement to HorizonTal via mail, email, or fax.
As required by the Copyright Act, HorizonTal will forward your notice to the person identified in your claim and inform you of the forwarding or the reason it could not be completed. All notices must meet the current statutory requirements set by the Copyright Act. HorizonTal may charge applicable statutory fees for processing such notices.

13. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA)
The Digital Millennium Copyright Act of 1998 (the “DMCA”) provides a process for copyright holders to address materials on the internet that they believe infringe their U.S. copyright rights. If you believe that content available on the Site infringes your copyright, you (or your agent) may send a written notice by email to HorizonTal requesting the removal or blocking of access to the infringing material.
If you believe that a copyright infringement notice has been filed against you incorrectly, the DMCA allows you to submit a counter-notice. Both notices and counter-notices must comply with the current statutory requirements under the DMCA. For more information, please refer to www.copyright.gov.

14. GOVERNING LAW; JURISDICTION
These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law principles. By using the Site, you consent to the exclusive jurisdiction of the courts in Montreal, Quebec, and waive any objections to the jurisdiction, venue, or convenience of such courts, regardless of your location.

Please note that email communications may not be secure. Therefore, we advise against including sensitive information such as credit card details in your correspondence.
16. GENERAL
These Terms do not, and will not be interpreted to, create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between you and HorizonTal. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be considered severable from these Terms and will not impact the validity or enforceability of the remaining provisions.
You may not assign, transfer, or sublicense any rights or obligations under these Terms without our express written consent. We reserve the right to assign, transfer, or sublicense any rights or obligations under these Terms without restriction.
No waiver by us of any breach or default under these Terms shall be deemed a waiver of any prior or subsequent breach or default. Any headings or titles used in these Terms are for convenience only and do not define or explain any section or provision.
Terms defined in the singular shall have the same meaning when used in the plural, where appropriate, unless otherwise specified. Any use of the term “including” or similar variations in these Terms will be interpreted as “including without limitation.”
Entire Agreement: These Terms, along with any terms and conditions incorporated herein, represent the entire agreement between you and HorizonTal concerning the subject matter, superseding all prior or contemporaneous written or oral agreements or understandings between you and HorizonTal.
Notices: Notices to you may be delivered by posting on the Site, by email (including via links), or by regular mail. A printed version of these Terms, and any notice given in electronic form, will be admissible in judicial or administrative proceedings to the same extent and under the same conditions as other business documents and records originally generated and maintained in printed form.
HorizonTal will not be responsible for any failure to fulfill obligations due to any cause beyond its control.
